Terms of Service & End User License Agreement

These Terms of Service and End User License Agreement (the “Terms”) are a legal agreement between you and Emerald Vortex Games LLC, a Florida limited liability company (“Emerald Vortex Games,” “we,” “us,” or “our”). They govern your use of our games, including Cars & Nukes, Medieval Blood and Egyptian Gladiator, together with any updates, downloadable content and online features (the “Games”), and our website at emeraldvortexgames.com (together, the “Services”).

1. Platforms & other terms

The Games may be distributed through third-party platforms such as Steam, the Epic Games Store, the Microsoft Store / Xbox, Google Play and Meta Quest (each a “Platform”). Your use of a Platform is also governed by that Platform’s own terms (for example, the Steam Subscriber Agreement or the Google Play Terms of Service). If these Terms conflict with a Platform’s terms that are required to apply, the Platform’s terms control to the extent of the conflict. The Platform is not responsible for the Games or for providing support for them. Where a Platform provides its own standard end user license agreement for a Game, that agreement applies along with these Terms.

2. License to play

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and play the Games for your own non-commercial entertainment, on devices you own or control, through the Platform you obtained them from. The Games are licensed, not sold. You may create and share gameplay videos and streams of the Games, including monetized ones, as long as you do not suggest that we endorse you and you follow these Terms.

3. Restrictions

Except as allowed by law or with our written permission, you may not:

• copy, sell, rent, lease, sublicense or distribute the Games or any part of them;
• reverse engineer, decompile, disassemble or modify the Games, except where applicable law expressly allows it despite this restriction;
• use cheats, bots, hacks, exploits, automation software or any unauthorized third-party tools that change gameplay or give an unfair advantage;
• interfere with, disrupt or overload our servers or networks, or attempt to gain unauthorized access to them;
• sell, trade or transfer accounts, virtual items or in-game currency for real money or anything of value outside the Games;
• use the Games for any unlawful purpose.

4. Accounts

Some features require you to sign in with a Platform account or an Emerald Vortex account. You are responsible for keeping your login details secure and for activity under your account. Tell us right away at [email protected] if you believe your account has been compromised. You can ask us to delete your account at any time; see Account & Data Deletion.

5. Virtual items & currency

The Games may include virtual items and in-game currency, such as gems earned by defeating enemies in Medieval Blood, units, upgrades, cosmetic items and loot (“Virtual Items”). Virtual Items are part of your license to play and have no real-world monetary value. They cannot be redeemed for cash, and you do not own them. We may change, rebalance or remove Virtual Items as part of running and improving the Games, and we have no liability to you for doing so, except where the law requires otherwise. Virtual Items that you bought with real money will be handled in line with applicable law and the Platform’s policies.

6. Purchases & refunds

All purchases of the Games and any paid content are made through the Platform and are processed under that Platform’s payment terms and refund policy (for example, Steam Refunds, Epic Games Store refunds, Microsoft Store returns or Google Play refunds). Please request refunds through the Platform you bought from. Prices and availability may vary by Platform and region. Nothing in these Terms limits any rights you have under consumer protection laws that cannot be waived.

7. Player conduct

We want our arenas, battlefields and highways to be fun for everyone. When using online features you agree not to:

• harass, threaten, bully or discriminate against other players, or post hateful, sexually explicit or illegal content;
• impersonate others, including Emerald Vortex Games staff;
• spam, advertise or phish;
• deliberately ruin matches for others (for example, by griefing, intentional disconnects or match-fixing);
• share other people’s personal information.

You can report players or content to us at [email protected]. We may remove content and take action against accounts that break these rules.

8. Player content

If you submit content through the Services, such as player names, chat messages, voice, feedback or suggestions (“Player Content”), you keep any rights you have in it. You grant us a worldwide, royalty-free, non-exclusive license to host, use, reproduce, display and transmit your Player Content as needed to operate, promote and improve the Games. If you send us ideas or feedback, we may use them without any obligation to you.

9. VR health & safety (Egyptian Gladiator)

• Play in a clear, safe space, free of furniture, pets, people, walls and other obstacles, and set up your play-area boundary correctly.
• Keep your controller straps secured to prevent controllers from slipping.
• Take frequent breaks. Stop playing immediately if you feel dizziness, nausea, eye strain, disorientation, discomfort or pain, and do not drive or do anything demanding until you have fully recovered.
• Do not play if you are tired, unwell or under the influence of alcohol or drugs, or if you have a medical condition that physical activity or VR may worsen, unless you have talked with your doctor.
• VR is not recommended for young children. Follow the age guidance of your headset manufacturer.

You play at your own risk and are responsible for your surroundings and physical safety while playing.

10. Online features & updates

Some Games require an internet connection for online multiplayer, such as Cars & Nukes’ 16-player matches and Medieval Blood’s 4-player battles. We may update, patch or change the Games, and some updates may be required to keep playing online. We may also change or discontinue online features or servers. If we plan to permanently shut down the online services for a paid Game, we will try to give reasonable advance notice.

11. Ownership

The Games, the Website and all related content, including code, art, characters, music, sound, text and the Emerald Vortex Games name and logo, are owned by Emerald Vortex Games LLC or its licensors and are protected by copyright, trademark and other laws. Except for the limited license in these Terms, no rights are granted to you. Some Games may include third-party software or open-source components that are licensed under their own terms, which are listed in the Game’s credits or files.

12. Suspension & termination

You may stop using the Games at any time. We may suspend or terminate your access to online features, or your account, if you break these Terms, if needed to protect other players or the Services, or if required by law. When your license ends you must stop using the Games. Sections that by their nature should survive termination (such as Ownership, Disclaimers, Limitation of Liability and Governing Law) will survive.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR FREE OF HARMFUL COMPONENTS, OR THAT SAVED DATA WILL NEVER BE LOST. Some jurisdictions do not allow these exclusions, so some of them may not apply to you.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMERALD VORTEX GAMES LLC AND ITS MEMBERS, EMPLOYEES AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE GAME GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) US $50. Nothing in these Terms limits liability that cannot be limited by law, such as liability for death or personal injury caused by negligence, or for fraud.

15. Indemnity

To the extent permitted by law, you agree to defend and indemnify Emerald Vortex Games LLC against claims, losses and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms or your misuse of the Services.

16. Governing law & disputes

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules. Before filing a claim, you agree to contact us first so we can try to resolve the issue informally. If we cannot resolve it within 60 days, any dispute will be brought exclusively in the state or federal courts located in Lee County, Florida, and you and we consent to the jurisdiction of those courts. Either of us may bring an individual claim in small claims court instead. If you are a consumer living in the European Union, the United Kingdom or another country whose laws give you the right to bring claims in your home courts or under your local laws, nothing in this section takes away those rights.

17. General terms

• Changes. We may update these Terms. We will change the “Last updated” date, and for significant changes we will give notice in-game or on the Website. If you keep playing after changes take effect, you accept the updated Terms.
• Entire agreement. These Terms, together with our Privacy Policy and any applicable Platform terms, are the entire agreement between you and us about the Services.
• Severability. If any part of these Terms is found unenforceable, the rest stays in effect.
• No waiver. If we do not enforce a provision, that is not a waiver of our right to do so later.
• Assignment. You may not transfer these Terms. We may assign them in connection with a merger, acquisition or sale of assets.
• Export. You agree to comply with applicable export and sanctions laws.
